CLOSTER TERMS OF SALE

§1. THE SELLER
1. The shop is operated by Closter Polska sp. z o.o., registered office Jana Pawła II 22, 00-133 Warszawa, PL,
NIP 5253083935, REGON 544317336, KRS 0001230607 (Sąd Rejonowy dla m.st. Warszawy w Warszawie, XII Wydział Gospodarczy Krajowego Rejestru Sądowego), share capital PLN 5000 ("Closter" or the "Seller").
2. Contact for any matter, including complaints and withdrawal: hej@closter.pl and the
address in paragraph 1. The mailbox is monitored by a person.
3. These terms govern distance sales by Closter within the meaning of the Polish Act of
30 May 2014 on consumer rights ("u.p.k.").
§2. WHAT IS SOLD
1. Closter sells pre-owned luxury goods — clothing, bags and accessories — either bought
outright from private individuals or taken on consignment.
2. Closter is the seller in every transaction. The Buyer contracts with Closter alone and not
with the item's previous owner, whose details are never disclosed to the Buyer.
3. Every item is pre-owned. Its description, condition grade and photographs are produced by
Closter and show the actual state of that specific item, signs of wear included.
4. Every item is authenticated by Closter before listing. An item Closter finds to be
counterfeit is not listed in any form.
5. Every item is unique. A sold item is not replaced by another example.
§3. FORMATION OF THE CONTRACT
1. Displaying an item is an invitation to treat, not an offer within the meaning of art. 66 of
the Polish Civil Code.
2. The contract is concluded when Closter confirms acceptance of the order by email to the
address the Buyer gave.
3. If an item proves unavailable after an order is placed, Closter informs the Buyer without
delay and refunds everything received.
§4. PRICES, PAYMENT AND THE SALES DOCUMENT
1. Prices are gross, in Polish złoty, and include tax.
2. Delivery cost is shown before the order is placed and added to the price.
3. The shop shows one price — today's. Closter does not display a struck-through price or any
announcement of a reduction. An item's price may change over time under Closter's internal
schedule (after 14 days — reduced by 10%; after 30 days — reduced by 25%; after 60 days — reduced by 40%; after 90 days — reduced by 55%), but that change is not announced as a price reduction.
4. Pre-owned goods are sold under the margin scheme (art. 120 of the Polish VAT Act). The sales
document is annotated "procedura marży — towary używane" and shows no tax amount. It confers
no right to deduct input tax.
5. A VAT invoice is issued on request made no later than when the order is placed.
§5. DELIVERY
1. Delivery is made to the territories listed in the shop, by the carriers offered at checkout.
2. The fulfilment time is stated in the order confirmation.
3. For a Buyer who is a consumer, the risk of accidental loss or damage passes on delivery of
the goods to them (art. 454 of the Polish Civil Code).
§6. WITHDRAWAL
1. A Buyer who is a consumer — and a natural person concluding a contract directly connected
with their business where the contract is not of a professional character for them
(art. 7aa u.p.k.) — may withdraw without giving a reason within
14 days of taking possession of the goods.
2. Sending the statement before the deadline is enough to meet it. It may be made in any form,
including by email to hej@closter.pl. A model form is provided as a separate document and
its use is optional.
3. Closter refunds all payments received, including the cost of the cheapest delivery offered,
within 14 days of receiving the statement (art. 32(1) u.p.k.). Closter may withhold the
refund until it receives the goods or proof that they have been sent back (art. 32(3)).
4. The Buyer returns the goods within 14 days of the statement and bears the direct cost of
return (art. 34(1)–(2)).
5. The Buyer is liable for any diminished value of the goods resulting from handling beyond
what is necessary to establish their nature, characteristics and functioning (art. 34(4)).
That is the handling the Buyer could have done in a physical shop.
6. The right of withdrawal does not apply in the cases listed in art. 38 u.p.k.
§7. CONFORMITY OF THE GOODS
1. Closter is liable to a consumer for a lack of conformity under chapter 5a u.p.k.
(art. 43a–43g) for two years from delivery. That liability is neither excluded nor limited.
2. Pre-owned goods conform to the contract if they match their description, including the
description of their condition and wear. Characteristics of which Closter expressly informed
the Buyer before the contract and which the Buyer accepted are not a lack of conformity
(art. 43b(4) u.p.k.). The wear visible in the photographs and set out on the item page is
that express information.
3. The Buyer may require repair or replacement; where these are impossible or would require
excessive cost, they may declare a price reduction or withdraw (art. 43d–43e). Replacement
of a one-of-a-kind item is as a rule impossible.
4. In respect of a Buyer who is neither a consumer nor a person under §6(1), Closter's
liability under statutory warranty (art. 556 ff. of the Polish Civil Code) is excluded.
§8. COMPLAINTS
1. A complaint may be sent to hej@closter.pl or to the address in §1(1).
2. Closter responds within 14 days of receipt. Failure to respond within that period means the
complaint is upheld.
3. A complaint should carry the order number and a description of the non-conformity; the
absence of either is not a ground for refusing to consider it.
§9. OUT-OF-COURT DISPUTE RESOLUTION
1. A consumer may use out-of-court routes, in particular: the permanent consumer arbitration
court at the Provincial Inspectorate of the Trade Inspection; mediation before the Provincial
Trade Inspector; or assistance from the district (municipal) consumer ombudsman or a social
organisation whose statutory tasks include consumer protection.
2. Closter has not undertaken to use out-of-court consumer dispute resolution and is not
required by law to do so; the routes above remain open to the consumer regardless.
3. The EU ODR platform was shut down on 20 July 2025 under Regulation (EU) 2024/3228 and is no
longer available.
§10. PERSONAL DATA
Personal data is processed as described in the Privacy and cookie policy, published at
www.closter.pl.
§11. FINAL PROVISIONS
1. These terms are governed by Polish law. That choice does not deprive a consumer of the
protection of mandatory provisions of the law of their habitual residence.
2. The version in force when the order is placed applies to that order. A change to these terms
does not affect orders already placed.
